Join a complex, growing New Zealand group in a high visibility Group Company Secretary role supporting the Board and senior leadership to deliver best-practice governance.
Representing the New Zealand arm of a major international group, this newly created role acts as the Group Company Secretary across several local entities. Based in Auckland and reporting directly to the Board, you will lead governance frameworks, statutory compliance, and the smooth running of Board and committee processes. You will work closely with senior leaders in New Zealand and with the offshore parent to ensure policies, controls and risk frameworks are consistently applied across the group.
- Develop, implement and maintain robust governance and control frameworks across all New Zealand entities.
- Ensure compliance with the Companies Act 1993 and all relevant legislation and regulatory obligations.
- Manage Board and committee processes including agendas, papers, resolutions and minutes.
- Maintain statutory registers, Companies Office filings and all statutory records.
- Advise Directors on legal, regulatory and governance responsibilities.
- Prepare and coordinate Board packs and ensure timely circulation of information.
- Oversee risk management, policy development and document management.
- Liaise with external legal, regulatory and audit stakeholders.
- Act as a key conduit between New Zealand operations and the offshore parent.
- Support ESG and sustainability reporting and related governance work.
Core Competencies & Experience
- Tertiary qualification in Law, Business or a related discipline.
- Membership of the Institute of Directors or similar body is desirable.
- At least five years' experience in a Company Secretary or senior governance role.
- Strong knowledge of NZ corporate law, governance principles and statutory requirements.
- Experience in multi-entity or complex environments, ideally with an offshore parent.
- Strong financial literacy and ability to interpret financial statements.
- Exposure to CCCFA or FMA-regulated settings is advantageous.
- Excellent organisational, communication and stakeholder engagement skills.
- High level of discretion, integrity and attention to detail.
- A proactive, strategic mindset with the ability to understand business operations.
