As required by the EPA Act, Board members should collectively possess the following competencies:

- experience with governance and organisational change
- knowledge of New Zealand's environmental management system
- an understanding of the New Zealand economy and the linkages with environmental management
- knowledge and experience relating to the Treaty of Waitangi / Te Tiriti o Waitangi and tikanga Māori
- an understanding of the administration of environmental and risk management frameworks
- familiarity with central government processes.

Board members are expected to participate in one or more of the Board's subcommittees.
Background

**The key functions of the EPA are to**:

- process matters for proposals of national significance under the Resource Management Act 1991
- directly undertake certain functions under the Hazardous Substances and New Organisms Act 1996, and oversee those functions delegated to WorkSafe NZ
- undertake administration of the Emissions Trading Scheme and New Zealand Emissions Trading Register under the Climate Change Response Act 2002
- undertake consenting, information management, monitoring and enforcement functions under the Exclusive Economic Zone and Continental Shelf (Environmental Effects) Act 2012.

Functions of the EPA Board
The EPA Board is the governing body of the EPA, being directly accountable to the Minister for the Environment (and Associate Ministers) as well as to Parliament for the performance of the EPA. The Board members work collectively to oversee the activities of the executive leadership team and staff, who carry out the day-to-day operations. Board members may also participate in direct decision-making for environmental consents received by the EPA, as part of a committee made up of other experts.
Remuneration
Remuneration is set in accordance with the Cabinet Fees Framework. The current fee rates are $21,000 per annum per member and $48,000 per annum for the Chair. It is assumed that a Board member works around 30 days per year and the Chair around 50 days per year.
Terms of appointment
Board members are appointed for terms of up to three years and may be reappointed on the expiry of their term. Board members may resign by written notice to the Responsible Ministers. Board members may also be removed from office at any time, and for any reason, by written notice from the Responsible Ministers.
