Position Summary

Reporting to the Head of Legal, this role will play a pivotal role in overseeing and ensuring strict adherence to legal standards and regulatory obligations within the company. The Senior Legal Counsel role will actively collaborate with the Head of Legal to support cross functional departments effectively navigate legal challenges, pre-emptively manage potential risk and provide ongoing legal advise and guidance.

This role requires a good understanding of commercial law, contract negotiation, privacy, corporate governance law, employment law and regulatory compliance in the electronics industry.

Role and Responsibilities
- Provide expert legal advice and guidance to various departments within the company, including but not limited to management, marketing, sales, product management and human resources.
- Identify, develop, implement and manage legal risk minimization strategies and initiatives.
- Draft, review, and negotiate a wide range of commercial agreements, including supplier contracts, distribution agreements, licensing agreements, and other business-related contracts for the local market, and where required, for Pacific Islands channels.
- Provide legal support and advice on various legal and compliance matters, including without limitation to corporate governance, privacy, fair trading, competition, and generally ensuring compliance with relevant laws and regulations in New Zealand and the Pacific Islands.
- Provide advice to management and advise on the implications of global initiatives.
- Coordinate and assist in the implementation of data privacy policies and procedures to ensure compliance with NZ data protection law and regulations.
- Document due diligence procedures to ensure advertising, promotional materials, and social media are not misleading or deceptive and comply with relevant consumer laws.
- Advise on and assist with regulatory filings and submissions required for product approvals, certifications, business licenses and compliance with industry-specific regulations.
- Manage and resolve any potential legal disputes, including litigation, arbitration, or alternative dispute resolution, with external counsel where required, in a timely and cost-effective manner.
- Keep abreast of changes in legislation and regulations, and industry standards impacting the electronics sector, and provide proactive recommendations and strategies for compliance.
- Prepare and deliver staff training on compliance, local law and Samsung policy.
- Develop and implement internal policies and procedures to ensure compliance with legal requirements and industry standards.
- Conduct regular training sessions for employees on legal and compliance issues relevant to their roles and responsibilities within the company.
- Collaborate with legal colleagues in the Southeast Asia and Oceania Region (SEAO) to effectively implement Samsung Group’s corporate policies.
- Manage corporate and employee compliance, including reporting to RHQ and HQ, as required.
- Collaborate with external legal counsel as needed, managing relationships and overseeing outsourced legal matters effectively.
- Maintain good relations with relevant authorities and governmental agencies.
- Perform other legal tasks assigned by the Head of Legal from time to time.

Skills and Qualifications
- Bachelors degree in law from a New Zealand university; with at least 3 - 6 years of post-admission experience.
- Admitted to the Roll of Barristers and Solicitors of the High Court of New Zealand.
- Hold a current practicing certificate from the Law Society of New Zealand.
- Worked in a reputable law firm or as an in-house legal counsel, preferably in the electronics industry or related fields.
- Proficiency in business and commercial law, competition law, contract law, employment law and consumer law.
- Proven experience in drafting and negotiating complex commercial agreements.
- Ability to work independently, handle multiple tasks, and prioritise effectively in a fast-paced environment.
- Demonstrate a strong team spirit and a high sense of responsibility, exhibiting readiness to take on tasks beyond designated responsibilities.
- Strong attention to detail and a commitment to delivering high-quality work;
- Demonstrate ability to provide practical, business-oriented legal advice and solutions.
- High level of business acumen with strong and effective communication, negotiation and analytical skills across all business levels.
